MaviGadget Seller Agreement
This Seller Agreement (“Agreement”) governs participation in the MaviGadget Marketplace operated by Brandimi (d/b/a “MaviGadget”), located at 4610 N Clark St, Chicago, Illinois 60640, USA. By listing or selling any product on the MaviGadget Marketplace, you (“Seller”) agree to the following terms.
1. Overview
What to find here: who we are, what this agreement covers, and your role as a Seller.
MaviGadget provides an online platform that enables independent third-party Sellers to offer and sell products directly to consumers. MaviGadget is not the manufacturer, importer, or seller of record for these items and acts solely as a facilitator of transactions between Sellers and customers.
2. Seller Eligibility
- You must be at least 18 years old and legally able to enter into binding contracts.
- You must provide accurate and complete business information, including your legal name, tax identification number, and contact details.
- You are responsible for maintaining valid payment and payout information at all times.
3. Product Listings & Pricing
Seller Responsibility: You, not MaviGadget, set and control your product pricing, discounts, and promotions.
- All prices, including “compare-at,” “regular,” or “reference” prices, must be truthful, accurate, and comply with applicable consumer laws (including California Business & Professions Code §17501 and §17500 et seq.).
- Sellers must not display fictitious or inflated “former” prices, phantom discounts, or misleading promotions.
- Each Seller certifies that any “regular price” or “compare-at price” was the actual price at which the item was offered or sold within the previous 90 days, or otherwise represents a legitimate market reference.
- MaviGadget does not create, review, or verify pricing claims and is not responsible for Seller pricing accuracy.
Important: MaviGadget may remove or suspend listings that violate pricing or advertising laws or appear deceptive to consumers.
4. Order Fulfillment & Customer Experience
Sellers are solely responsible for timely fulfillment, accurate tracking, and providing customer support for their products. Sellers must:
- Ship all orders within the timeframe advertised on their product page.
- Provide valid tracking numbers and promptly update delivery status.
- Handle returns and replacements consistent with MaviGadget’s Return Policy.
- Maintain packaging and product quality standards consistent with brand guidelines.
5. Product Content & Accuracy
Sellers are responsible for the accuracy and legality of all content uploaded, including text, images, videos, and specifications. MaviGadget may remove or modify content that violates intellectual property laws, misleads customers, or fails to meet quality standards.
6. Intellectual Property & Licensing
Sellers represent and warrant that they own or have valid licenses for all materials submitted to the MaviGadget platform, including images, product descriptions, logos, and trademarks. Sellers grant MaviGadget a limited, royalty-free license to use this content for marketing, distribution, and platform display purposes.
7. DMCA & IP Complaints
MaviGadget complies with the Digital Millennium Copyright Act (17 U.S.C. §512). If a listing receives a valid IP complaint, MaviGadget may remove it and forward notice to the Seller. Sellers may submit counter-notices per the process in the DMCA Policy.
8. Data Protection
MaviGadget values privacy and data security. Sellers agree to handle all personal data of customers in accordance with MaviGadget’s Privacy Policy and Security & Data Protection statement. Personal data may only be used for fulfilling the order and related customer service.
9. AI & Content Transparency
MaviGadget uses AI-assisted tools to optimize listings, translations, and marketing copy, but all content is reviewed by humans prior to publication. Sellers must not use AI to fabricate reviews, testimonials, or deceptive images. For details, refer to our AI & Content Transparency Policy.
10. Accessibility & Compliance
Sellers agree to ensure that any media, labeling, or embedded content complies with accessibility standards (WCAG 2.1 Level AA) where possible, and to cooperate with MaviGadget in maintaining accessible product information.
11. Fees & Payments
- MaviGadget may charge commission, transaction, or subscription fees as described in your Seller Dashboard.
- Payments are remitted to Sellers after order confirmation and subject to any refund or chargeback periods.
- MaviGadget may offset unpaid balances, penalties, or refunds from Seller payouts.
12. Indemnification
Seller agrees to defend, indemnify, and hold harmless MaviGadget, Brandimi LLC, and their affiliates from any claims, damages, liabilities, or costs arising from Seller’s products, pricing, advertising, or misconduct. This includes claims related to false reference pricing, intellectual property infringement, or consumer deception.
13. Suspension & Termination
MaviGadget reserves the right to suspend or terminate a Seller’s account for violations of this Agreement, fraudulent activity, poor customer service, or noncompliance with laws or policies. Termination does not waive Seller’s obligations for outstanding orders or liabilities.
14. Governing Law
This Agreement shall be governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Chicago, Illinois, in accordance with MaviGadget’s Terms of Service.
